1) 購入者はいつでも、またいかなる理由でも、15 日前の取引先への書面による通知によって本注文書 を解約することができる。
2) 購入者は、取引先が次の各号の一に該当した場合は、何等催告を要せず取引先への書面による 通知によって直ちに本注文書を解約することができる。 (ア) 本注文書、本条件書又は適用合意書の条項に違反したとき
(イ) 手形・小切手の不渡を出して、銀行取引停止処分を受けたとき
(ウ) 差押、仮差押、仮処分その他の強制執行を受けたとき、または競売、民事再生、会社更生、 破産、その他法的倒産手続開始の申立があったとき (エ) 監督官庁より営業停止、または営業免許もしくは営業登録の取消の処分を受けたとき (オ) 資本減少、営業の廃止もしくは変更、または解散の決議をしたとき、あるいは清算または任意 整理の手続に入ったとき (カ) その他信用状態が悪化し、または悪化のおそれがあると客観的に認められるとき
3) 解約が発生した場合、取引先は、本注文書に記された物品及びサービスに関して当該通知の記載 に従い、その他すべての本注文書上の物品の出荷及び作業を停止することとする。解約が有効となった 日より 45 日以内に、取引先は、購入者にあらゆる資料、図面、仕掛品、及び共同で開発された知的 財産を提供し、解約が発生する前までに本注文書に従って取引先が実施したすべての作業に対応する 委託料に係る請求書を購入者に提出するものとする。購入者は本注文書、本条件書及び適用合意 書に従って、異議のない金額を支払うことに合意する。いかなる場合も購入者は ア) 本注文書記載 の委託料全額、又は、イ)本注文書に従って解約前に取引先が実施した作業費用のいずれか少ない方 を超過する金額について責任を負わないものとする。
2) 本注文書の受諾の結果、契約に含めることが法令で求められる条項、表明又は合意は、本条件書 によって言及されることにより本条件書に組み込まれるものとする。なお、本条件書には、従業員又は雇 用を希望する応募者に対して、人種や肌の色、宗教、生別、出生国、身体的もしくは精神的障害を理 由にする差別を禁じる条件、ならびに、障害を持つ退役軍人及びベトナム戦争時代に従軍した退役軍 人であることを理由にする差別を禁じる条件を含むがこれらに限らない。
4) 取引先は、書面による購入者の事前の承認なくして、本注文書に基づき発生する義務を下請に出 し又は再委託しないものとする。取引先は、下請に出し又は再委託を行う場合には、本注文書、本条 件書及び適用合意書に定められた契約条件に基づき自らが購入者に対して負う義務と同等の義務を 下請先又は再委託先に負わせるものとし、下請先又は再委託先の行為について購入者に対し一切の 責任を負う。
5) ア) 購入者もしくはその関連会社の敷地(以下「敷地」といいます)内においては、取引先は、敷 地に適用されるすべての規則及び規制に従うものとする。取引先は、自社の担当者及び代理人が敷地 内にいる際は、当該人物の行動が取引先の職務又は業務の範囲外であるなしに関らず、彼らについて 責任を負う。取引先は、自社の担当者及び代理人がサービスを提供する場所に直行すること、及び、購 入者に指示された場合を除き、敷地のその他の場所へは立ち入らないことを保証する。 イ) 取引先は、 場合によっては、購入者又は購入者の関連会社が、取引先の担当者及び代理人が敷地内にいる時、 又は、敷地へ入場もしくは敷地より退場する際に、当該人物、その車両及びその荷物を検査できることに 同意する。
1) 準拠法 法の抵触に関する規則及び購入者の居住場所に拘わらず、日本国法が本注文書及び 本条件書に適用される。
2) 管轄 両当事者は、本注文書及び本条件書に関して生じた当事者間の争いについては、東京地 方裁判所を第一審の専属的合意管轄裁判所とすることに合意する。
1) 購入者と取引先の関係は独立の契約当事者の関係であり、本条件書は、ア)いずれの当事者にも、 相手方に代わって、相手方に何らの義務も負わせる権限を付与するものではなく、イ) 当事者同士をパ ートナーや合弁企業、共同所有者又は共同、共通事業の参加者とみなすものではない。
2) 購入者はいかなる状況でもその関連会社に対する責任を負わない。
3) 本注文書及び本条件書は、購入者と取引先との独占的関係を構築するものではない。
1) 取引先は、本注文書に関連し知りえた購入者の従業員又は顧客等の個人情報(以下「本個人 情報」といいます)を個人情報保護法及び関連法令等に従って厳重に管理し、正当な理由なく、購入 者の事前の書面による承諾なしに第三者に開示しない。
2) 取引先は、前項の義務を履行するために、自己の組織内に個人情報の安全管理に関する責任者 を定め、十分な安全管理措置を講じる。
3) 購入者は、いつでも取引先に対して、前項の安全管理措置及び個人情報の管理状況について報 告を求めることができる。
4) 取引先は、購入者との取引に関与するすべての従業者が、在職中及び退職後を通じて、本条に基 づく安全管理措置の内容を遵守するよう必要な措置を講じる。
5) 取引先は、不要となった本個人情報について、購入者の指示に従い、返却又は破棄する。本条の 義務は、取引先が本個人情報を保有している間、有効に存続する。
1) 本条において別段の定めがない限り、各用語は、個人情報の保護に関する法律(平成十五年法 律第五十七号)、同法施行令、同法施行規則及び個人情報保護委員会が公表する同法に関す るガイドライン並びにそれらの改正法令(以下総称して「個人情報保護法」という)の定義及び用 語例に従う。
2) 本契約において「匿名化」とは、特定の個人を識別することができないように個人情報を加工し、当 該個人情報を復元できないようにすることいい、取引先は、本契約に基づく本業務の全部又は一部 の履行として、購入者に対して、匿名化されたデータを開示又は提供する場合、個人情報保護法 に基づき匿名加工情報を作成する場合に準じて、個人識別符号の全部の削除及び再識別化し 得る対照表の削除を含む一切の適切な措置を講じなければならず、購入者が保有する又は購入 者に開示又は提供される他のデータと照合しても、特定の個人を再識別化できないように、適切に 匿名化されていることを保証するものとし、もし適切に匿名化されていない個人情報が購入者に開 示又は提供されたことを知ったときには、直ちに(いかなる場合も知った時から 24 時間以内に)購 入者に通知し、かかる場合、取引先は、当該匿名化されていない個人情報の開示及び提供から生 じ得る損害を軽減するために、購入者の要請に従い、購入者に協力し、速やかに適切に匿名化さ れたデータを無償で購入者に再提供する。
3) 本契約において「仮名化」とは、個人情報の区分に応じて所定の措置を講じて他の情報と照合しな い限り特定の個人を識別することができないように個人情報を加工することをいい、取引先は、本契 約に基づく本業務の全部又は一部の履行として、購入者に対して、仮名化されたデータを開示又は 提供する場合、個人情報保護法の規定に基づき仮名加工情報を作成する場合に準じて、かかる 仮名化されたデータから特定の個人の再識別化が可能な対照表その他の情報を購入者に開示又 は提供しないことを保証するものとし、もし適切に仮名化されていない個人情報が購入者に開示又 は提供されたことを知ったときには、直ちに(いかなる場合も知った時から 24 時間以内に)購入者 に通知し、かかる場合、取引先は、当該仮名化されていない個人情報の開示及び提供から生じ得 る損害を軽減するために、購入者の要請に従い、購入者に協力し、速やかに適切に仮名化された データを無償で購入者に再提供する。
4) 本条件書において、「要配慮個人情報」とは、「個人情報の保護に関する法律に係る EU及び英国 域内から十分性認定により移転を受けた個人データの取扱いに関する補完的ルール」に基づき「要 配慮個人情報」と同様に取り扱われる特別な種類の個人データも含むものとし、取引先は、本注文 書に記された物品やサービスの提供の実施にあたり、要配慮個人情報を取り扱う場合、暗号化を 含むがこれに限定されない、当該情報の機微性及び次条に基づく購入者のデータ安全管理措置に 関する要件に適合する適切な安全管理措置を講じるものとし、かつ、取引先は、購入者の判断に 従い、本条件書に基づき購入者に対して本注文書に記された物品やサービスの提供を提供するた めに必要不可欠な場合に限り、要配慮個人情報を取り扱うものとする。
5) 取引先は、本条件書に起因又は関連して知り得た購入者の従業員、顧客、取引先その他一切の 個人情報(以下「本個人情報」という)を本条件書に基づく本注文書に記された物品やサービス の提供の遂行に必要な範囲内、又は、その他購入者から随時書面で指示された範囲内でのみ利 用し、かかる範囲を超えて一切利用せず、個人情報保護法及び適用のあるその他の法令及び規 程(本条件書に基づく取引先の義務の全部又は一部の履行に必要な範囲内で、購入者のクッキ ーポリシーその他の個人情報の取扱いに関する規程を含む)に準拠して厳重に管理する。また、取 引先は、本条件書に基づく取引先の義務の履行に必要な範囲内で、本個人情報を正確且つ最 新の状態に維持すること、並びに、本個人情報が不正確又は最新でないことを知った場合には、直 ちに購入者に通知し、且つ、適用法令、本条件書の定め又は購入者の指示に従い、消去又は訂 正する。
6) 取引先は、前項の義務を履行するために、自己の組織内に本個人情報の安全管理に関する責任 者を定め、当該個人情報に対するリスクに応じて適切なレベルの安全性を確保するために、必要且 つ適切な組織的、人的、物理的及び技術的な安全管理措置を講じる。また、本個人情報に関す る購入者の指示が適用法令に違反し又はその虞がある場合、取引先は直ちにその旨を購入者に 通知するものとし、更に、本個人情報に関連する個人情報保護委員会その他の規制当局による調 査が実施される場合には、取引先は、購入者に協力し、関連する情報の提供を含む必要な支援を するものとし、当該調査が取引先(取引先の再委託先を含む)の作為又は不作為に起因又は関 連する場合には、かかる支援に必要な費用は取引先の負担とする。また、購入者は、いつでも取引 先に対して、かかる安全管理措置及び本個人情報の管理状況(本個人情報の取扱いに関する 取引先の方針、手続、運用並びに個人情報の台帳その他の記録を含む)について報告を求めるこ とができ、かかる本個人情報の安全管理に関する本条件書に基づく取引先の義務の遵守状況を監 査する目的で、取引先は、購入者の合理的な要請に従い、取引先の施設内への立ち入りを認め、 かかる監査に必要な範囲内で、購入者による取引先の電子機器を含む設備の利用を認め、かつ、 取引先の従業員に購入者に対する合理的な協力及び支援をさせるものとする。取引先は、本項に 基づく人的安全管理措置の一内容として、本個人情報の秘密性保持及び秘密保持義務を担保 するために、本条件書に基づく本注文書に記された物品やサービスの提供の遂行に従事その他関 与する取引先(取引先の関係会社及び再委託先を含む)のすべての従業者が在職中および退 職後を通じて本条を遵守するよう必要な措置を講じる。
7) 取引先は、本条件書に明示的に規定されている場合及び個人情報保護法で明示的に許容され ている場合を除き、購入者の事前の書面による承諾なしに、いかなる第三者(取引先の関係会社 及び再委託先を含む。以下同じ。)にも本個人情報の開示、アクセスの許可、提供、移転又は販 売(以下総称して「提供等」という。)をしない。また、購入者が取引先による本個人情報の第三 者への提供等について同意する場合、取引先は、購入者に対し、事前に、当該第三者が本個人 情報の取扱いに関して本条における取引先の義務と同等以上の義務を遵守することを保証する書 面を提供し、かつ、個人情報保護法その他の適用法令に従い、本人に対する通知及び同意の取 得、取引先の再委託先との間の適切な再委託契約の締結を含む、第三者に対する本個人情報 の提供等に関して必要かつ適切な措置を講じ、その他購入者の法令遵守に必要な協力を取引先 は購入者に対して提供するものとし、取引先は、かかる第三者による本個人情報の取扱いに関する 作為及び不作為について、自己の作為及び不作為に準じて、一切の責任を負うものとする。
8) 取引先は、本条件書に基づく本注文書に記された物品やサービスの提供の履行の一環として、取 引先が購入者に個人情報を提供する場合、当該個人情報に関して、個人情報保護法の規定に 従い、購入者(購入者の国内外のグループ会社を含む。購入者のグループ会社の範囲は購入者 の 米国本社 サ イ ト ( https://johnsonandjohnson.gcs-web.com/financial-information/sec-filings)から「SEC Filings」の「Exhibit 21 to Form 10K」をクリックして参 照ください。以下同じ。)が国境を越える個人情報の移転(以下「越境移転」という)に関する義 務を充足するために、購入者に協力し、購入者に必要な情報を提供し、購入者の要請に応じて、 その他の支援をし、越境移転に必要なその他の適切な措置を講じなければならない。
9) 取引先が法令に基づき本個人情報の開示を要請される場合、法令により許容される限り、取引先 は直ちに購入者に通知し、且つ、購入者がかかる開示を回避又は制限するために法律上有する権 利の行使その他の利益を享受できるよう、購入者への通知後 48 時間以上、当該開示要請の対 象となった本個人情報を開示せず、本個人情報の秘密性保持のために必要な且つ合理的な措置 を講じる等、購入者に協力をする。
10)適用法令により禁止される場合を除き、取引先は、(ア) 本個人情報に関して、本人から、個人情 報保護法に基づく開示(電磁的方法を含む)、訂正、削除、利用停止その他の請求、又は、本 個人情報の取扱いに関する法令違反の苦情その他の問合せを受領した場合、速やかに(受領後 3 暦日以内)書面で購入者に通知し、かつ、(イ) 購入者が明示的に許可しない限り、かかる請 求、苦情又は問合せに回答せず、(ウ) かかる請求、苦情又は問合せに関して講じられる措置(技 術的及び組織的措置を含む)について購入者に協力し、本人への対応について、購入者を支援 するための適切な手続及び措置の実施に努める。
11)取引先は、本条件書が解除若しくは期間満了により終了した場合、本条件書に基づく本注文書に 記された物品やサービスの提供の完了その他の事由により本個人情報がその利用目的を達成した 場合、又は、理由の如何を問わず購入者が要請する場合、取引先は、購入者の指示に従い、直 ちに本個人情報の利用を中止し、且つ、本個人情報(その複写、複製、アーカイブ目的を含むその 他一切の本個人情報の全部又は一部が記載、記録又は保存されたあらゆる媒体を含む。以下同 じ。)を返却又は安全かつ適切な方法で完全に消去若しくは破棄し、購入者の要請に応じて、か かる本個人情報の返却又は破棄を確認する証明書を提出する。本条の義務は、取引先が本個 人情報を保有している間、有効に存続する。
12)本条第6項で定める安全管理措置にも関わらず、本個人情報に対する不正なアクセス、取得、利 用、変更、開示、喪失若しくは破棄、又は損害、あるいは、個人情報保護法その他の適用法令違 反、又は、取引先若しくは取引先の再委託先による本個人情報の取扱いに関する本条件書違反 (以下「漏えい等事故」という)が現に発生し又は発生したと取引先が合理的に判断する場合に は、取引先は、購入者に対し、直ちに書面で通知しなければならない。かかる通知には、漏えい等 事故の原因(又はその可能性を含む)、性質、範囲、個人情報保護委員会又は認定保護団体 その他の関連する機関、団体若しくは個人に対する報告又は通知の要否及び内容、並びに、当該 事故に関する調査、対応策及び再発防止策を含む、漏えい等事故に関する詳細な情報を提供す る。取引先は、漏えい等事故に関して調査又は影響を受けた個人、個人情報保護委員会、認定 保護団体若しくはその他の規制当局又は信用情報機関に通知するために、購入者から要請された 合理的な支援及び協力をする。取引先は、適用法令に基づく要求又はその他当事者間の合意に 従い、信用情報の報告又はその他の救済措置の提供を含む、購入者が適切とみなす漏えい等事 故の影響の軽減化を図るものとする。取引先は、法令で要求される場合を除き、購入者の事前の 同意なく、漏えい等事故について、本人又はいかなる第三者にも通知してはならず、法令の要求に 従い購入者の事前同意なしに、かかる通知をした場合には、取引先は、当該通知の日時、内容及 び名宛人を特定した上で、書面通知の場合にはその写しの提供と共に、直ちに購入者に通知する。 更に、取引先は、漏えい等事故を検知し又はその通知を受けてから 10 日以内に、当該事故の被 害軽減策及び再発防止策を作成及び実行し、購入者の確認及び意見聴取のため、当該計画を 購入者に提出する。
13)取引先による本条の違反には、本条件書の補償の規定を適用する。
14)取引先は、(ア) 本個人情報の取扱いに関して個人情報保護法その他の法令に基づき購入者 (購入者のグループ会社を含む)に適用される通知、届出、登録又はその他の法的義務の遵守 及びかかる遵守の証明、(イ) 本個人情報の保護に関連する規制当局との相談・協議、(ウ) 本個 人情報に対する規制に係る説明責任の実施、並びに、(エ) 本個人情報の安全管理の確保に関 して、購入者に協力し、購入者が合理的に要請する措置を実施する。本条件書又は本条件書の 履行のために講じる又は講じることが予定されている措置が、当事者の一方又は双方の法令に基づ く義務の不履行又はその虞がある場合、両当事者は、本条件書の適切な変更をするために相互に 協力する。
1) 購入者の記録・情報 取引先が購入者又は購入者の関連会社に代わって作成し、編集し、又は受領する、形式の如何を問 わない全ての記録及び情報は、本注文書において「購入者の記録・情報」と言及されるものとする。疑義 を回避するために付言すると、「購入者の記録・情報」には、取引先の業務プロセスの一部として取引先 によって作成された記録及び情報(請求書、内部報告等)は含まない。 (ア) 取引先は、本注文書及び本条件書に基づく購入者の記録・情報を、(i)購入者の記録保持に 関する要請、及び(ii)適用される全ての法規に従って維持し、管理し、保護するものとする。
(イ) 取引先は、購入者の指示がない限り、購入者の記録・情報を、他のいかなる事業体に対しても 引き渡してはならない。
(ウ) 取引先は、購入者の記録・情報が、取引先が他の顧客のために管理している記録及び情報と 混同されないように、購入者の記録・情報を管理するものとする。
(エ) 取引先は、購入者の記録・情報の電子的データのバックアップを災害復旧目的、記録保持に 関する要請又は業務の実施のために必要な限度でのみ保持できるものとする。
2) 保存及び提出
取引先は、購入者の記録・情報(又はその一部)の保存を求める購入者の要請に応じるものとする。 取引先は、調査、検索、提出が要求された購入者の記録・情報を、本条第 8 項(購入者の記録・情 報の形式)に従って、いずれも本注文書の下で取引先が提供する業務の一部として速やかに引き渡す ものとする。
3) 第三者要請
取引先は、購入者の記録・情報に関する要請、催促、通知、召喚状、命令、又は他の法的要請を、 購入者以外の者から受けた場合(以下「第三者要請」という。)、本注文書本文にて別段の定めがな い限り、受領後 3 営業日以内にこれを購入者に通知し、(法的に禁止される場合を除き)購入者に 対して第三者要請の写しを提供するものとする。取引先は、購入者と協議を行い、要請に応じるための 手続きを確認し、文書化し、実施するものとする。取引先は、第三者要請に応じる場合、購入者の法 的権利を保護するためのあらゆる合理的な措置を講じるものとする。
4) 研修
Johnson & Johnson Enterprise Network (JJNET)にアクセスする取引先の全ての従業員及び 契約者は、購入者が指定する記録・情報管理に関する研修を毎年修了するものとする。
5) 破棄
取引先は、購入者の書面による承認を得ることなく、購入者の記録・情報を破棄せず、又は恒久的に 削除しないものとする。購入者は、購入者の記録・情報が継続中の保存義務又は保持要請の適用を 受けていないことについて、確認を行うものとする。取引先は、購入者の記録・情報が購入者の指示に従 って破棄又は恒久的に削除されたことを書面により証明するものとする。
6) 移転
取引先からの購入者の記録・情報の移転が要求される場合、取引先は、(i)本条第 8 項(購入者の 記録・情報の形式)に従って、購入者の記録・情報を、購入者又は購入者が指定する事業体に対して 移転するものとし、(ii)正確で完全な移転を確認する購入者からの通知書を受領するまでの間は、購入 者の記録・情報に対するいかなる措置も講じないものとし、かつ(iii)購入者の記録・情報を破棄又は恒 久的に削除するにあたり、本条第 5 項(破棄)に従って購入者の書面による承認を得るものとする。
7) 終了
本注文書が終了した時点で、購入者の指示に従って、取引先は、(i)本条第 6 項(移転)に従って、 購入者の記録・情報を、購入者又は購入者によって確認される事業体に対して引き渡すものとし、又は (ii)本条第 5 項(破棄)に従って、購入者の記録・情報の破棄又は恒久的な削除に対する購入者の 書面による承認を得るものとする。
8) 購入者の記録・情報の形式
取引先は、購入者と協議のうえ、購入者の記録・情報を確認し、購入者の記録・情報及び関連する文 書を購入者が指示する形式において、購入者又は購入者が指定する事業体に対して手続書に従って 引渡すものとする。購入者の記録保持義務及びその他の法的な保存義務を満たすために、購入者は、 取引先に対して、取引先のアプリケーションの基盤を成すデータベース内に存在するリレーションシップを維 持する構造的な形式において、購入者の記録・情報を提供することを要求することができる。
1) 取引先は、自己、自己の役員もしくは従業員、又は自己の代理人(取引先にあっては、本契約に 基づき再委託先を使用する場合は、当該再委託先を含む)が反社会的勢力でないこと、反社会的勢 力が経営に実質的に関与していないこと、反社会的勢力を利用していないこと、及び、反社会的勢力に 資金その他の便宜を提供していないことを表明し、かつ、将来についても確約する。
2) 取引先は、自ら又は第三者を利用して、暴力的なもしくは法的な責任を超えた不当な要求を行った り、風説の流布、偽計もしくは威力を用いて購入者の評判を棄損し又は業務を妨害したりしてはならな い。
取引先は、取引先の経営権又は支配権に重大な影響を及ぼす可能性がある 変更があった場合には、直ちに購入者に書面で通知する。
本条件書で使用されている各題名は、利便性のためのものであり、解釈の目的には使用 しないものとする。一方の当事者が、他方の当事者による本条件書の条項違反に対して対抗手段をとら ない場合でも、権利放棄とはみなさない。本条件書に含まれる条項のいずれかが無効もしくは法的強制 力がないとされる場合、当該条項は、可能であれば狭義的に解釈され、そうでない場合は無効とみなさ れるものとし、残りの条項は、影響を受けない。注文書及び本条件書に記される条件のうち、本注文書 遂行後も当然に有効であることが想定されている条件は、本注文書遂行後も有効に存続する。

Thank you for reviewing the purchase order (the “PO”) that has been transmitted (via facsimile, e-mail or other electronic means) to you (“Supplier”) by Johnson & Johnson K.K., Janssen Pharmaceutical K.K., Abiomed Japan K.K. and other affiliates of JJSI identified in the PO (“Buyer”). Notwithstanding any prior dealings between Buyer and Supplier, the PO is expressly made conditional on, and Buyer expressly limits Supplier's provision of any goods or services set forth in the PO to, the terms and conditions in the PO and herein.
By accepting the PO and/or starting performance, shipping any goods or furnishing any services (or providing any deliverable arising therefrom) in connection with the PO, Supplier acknowledges that Supplier has read, understands, and agrees to be bound by the terms and conditions set forth in the PO and herein. If Supplier objects to any such terms and conditions, Supplier shall (a) notify Buyer in writing within seven days after its receipt of the PO and (b) withhold acceptance of the PO and not start any performance, ship any goods or furnish any services (or provide any deliverable arising therefrom) in connection with the PO until/unless such objection is settled by written agreement by both parties.

If revised, the revised terms and conditions will be posted on the Site and will thereafter be immediately effective for purchase orders issued thereafter. (1) It is the mutual desire and intent of both parties to provide certainty as to their respective rights and remedies against each other by defining the extent of their mutual undertakings. Accordingly, the PO, these Terms and Conditions and, if applicable, any other agreement on the subject matter of this PO signed by a duly authorized representative of both parties (e.g., purchase agreement, service agreement, statement of work) pursuant to which the PO was issued and governing the relationship between Buyer and Supplier for the PO ("Applicable Agreement")(i)contain the entire understanding of the parties with respect to the subject matter of the PO and incorporate all representations, warranties, covenants, commitments and understandings on which both parties have relied, and neither party makes any other representations, warranties, covenants, commitments or understandings; and (ii) supersede all previous representations, warranties, covenants, commitments and understandings between the parties, written or oral, including any terms in an estimate, an offer or other similar document, with respect to the subject matter of the PO.
(2) No modification, amendment or waiver of any term or condition in the PO or herein shall be effective, nor shall any additional or different terms or conditions, whether transmitted hereafter in an invoice, confirmation, acceptance or any other similar document in connection with the PO or pursuant to any course of dealing, usage of the trade or Buyer's acceptance of any goods or services, be effective, unless set forth in a writing signed by duly authorized persons of Buyer and Supplier.
(3) In the event of any conflict between the PO or these Terms and Conditions and those in an Applicable Agreement, the terms and conditions in Applicable Agreement will govern unless the PO or these terms and conditions state that the applicable agreement is excluded. In the event of any conflict between the PO and these Terms and Conditions, the terms and conditions in Applicable Agreement will govern unless the PO states that these Terms and Conditions are excluded.
(1) Buyer reserves the right to refuse any goods or services and to cancel all or any part of the PO if Supplier does not, or goods or services provided by Supplier to Buyer do not, conform to any applicable industry standards or practices, any applicable specifications, drawings, samples, descriptions or any other similar criteria in the PO or otherwise provided to Supplier by Buyer (the "Specifications") or any terms and conditions set forth in the PO, herein, or Applicable Agreement or there is any other contractual non-conformity. Acceptance of any part of the shipment of goods or any part of the services shall not bind Buyer to accept any non-conforming goods or non-conforming services simultaneously provided by Supplier, nor deprive Buyer of the right to reject any previous or future non-conforming goods or services. Buyer may, if it rejects any non-conforming goods, return such goods to Supplier at Supplier’s expense for transportation both ways, and Supplier shall not deliver to Buyer any replacement or substitution goods for such rejected goods unless so authorized by Buyer.
(2) The delivery of goods and services shall strictly comply with the delivery date or delivery schedule, if any, provided to Supplier by Buyer. If at any time it appears Supplier will not meet such delivery date or schedule, Supplier shall promptly notify Buyer in writing of reasons for, and the estimated duration of, the delay. If requested by Buyer, Supplier shall ship such delayed goods by means to avoid or minimize delay to the maximum extent possible, including rerouting any shipment if appropriate and the use of a dedicated motor carrier or air freight, and any added costs shall be borne by Supplier.
(3) With respect to any personnel assigned by Supplier to provide goods or services to Buyer, Buyer reserves the right to request for any lawful reason whatsoever the removal or reassignment of any such personnel, which right shall not relieve Supplier of any responsibility it has for the PO. Supplier shall as soon as possible thereafter provide replacement personnel satisfactory to Buyer so that such change will not affect the performance of this PO and the delivery of the goods and services.. Supplier shall not, however, leave any position(s) without staffing acceptable to Buyer during any replacement assessment period(s).
(4) , If Supplier does not, or goods or services provided by Supplier to Buyer do not, conform to the PO, these Terms and Conditions or Applicable Agreement, including the case the delivery of goods or services does not strictly comply with the Specifications or the delivery date or schedule, Buyer may request that Supplier rectify the issue free of charge and compensate for that damage if Buyer suffers damage as a result of the defect or non-conformance of goods and services, or cancel the PO and seek any other remedies available in accordance with applicable law, including compensation for incidental and consequential damages from Supplier,.
(1) Buyer may cancel the PO at any time and for any reason upon 15 days prior written notice to Supplier.
(2) Buyer may terminate the PO immediately by written notice to Supplier without any prior notice if Supplier falls under any of the following items: (a) when the terms of the PO, these Terms and Conditions or Applicable Agreement are violated;
(b) when a bank transaction suspension order is issued due to dishonored bills or checks;
(c) when a seizure, provisional seizure, provisional disposition or other compulsory execution is carried out, or when a petition for the auction, or the commencement of a legal bankruptcy procedure such as civil rehabilitation, corporate reorganization, bankruptcy or other procedure is filed;
(d) when Supplier has been ordered to suspend business or has had its business license or registration cancelled by the regulatory authorities;
(e) when Supplier has resolved to reduce capital, close or change its business, dissolve, or has entered into liquidation or voluntary reorganization procedures;
(f) when Supplier's credit standing has deteriorated or there is an apparent risk of deterioration.
(3) In the event of such cancellation, Supplier shall comply with any directions given by Buyer in such notice with respect to the goods and services in the PO and cease all other shipment of goods and all other work with respect to the PO. Within 45 days from the effective date of such cancellation, Supplier shall provide to Buyer all material, drawings, work-in-progress and co-developed intellectual property and submit an invoice to Buyer for all work done by Supplier in accordance with the PO prior to cancellation. Buyer agrees to pay all undisputed amounts in accordance with the PO, these Terms and Conditions and Applicable Agreement. In no event shall Buyer be responsible for any amounts in the aggregate greater than (a) the total that would have been due under the PO or (b) the value of the work done by Supplier in accordance with the PO prior to cancellations, whichever is less.
(1) Buyer will be the exclusive owner of all deliverables created by Supplier in connection with or during the performance of the PO, any works based on or derived from such deliverables (“Derivatives”), and any ideas, concepts, inventions, techniques, creative works, literary works and other intellectual property that Supplier may conceive or first reduce to practice in connection with or during the performance of the PO (“Deliverable Concepts”) (the deliverables, Derivatives, and Deliverable Concepts are collectively referred to as, “Buyer Materials”) and all intellectual property rights therein, including patents(including rights to obtain patent registration), design rights (including the right to obtain design registration) and industrial property rights (including the right to obtain industrial property registration)copyrights(including the rights stipulated in Articles 27 and 28 of the Copyright Act), trade secrets, trademarks (including the right to obtain trademark registration), moral rights, and similar rights of any type under the laws of any governmental authority (including rights equivalent to each right in foreign countries, collectively, “Intellectual Property Rights”). The consideration for the transfer of the relevant rights shall be included in the payment to be made for the goods and services described in the PO.
(2) All copyrightable Buyer Materials created by Supplier in connection with or during the performance of the PO shall be considered a “work made for hire” for Buyer to the fullest extent permitted by law. Buyer shall be considered the author of the Buyer Materials for purposes of copyright and all worldwide right, title and interest therein, shall be the property of Buyer as the party specially commissioning said work.
(3) To the extent that Buyer does not acquire ownership of any copyrights as a work made for hire in accordance with the foregoing, and with respect to all other Intellectual Property Rights, Supplier hereby assigns and agrees to assign upon creation to Buyer all right, title and interest in and to the Buyer Materials and all Intellectual Property Rights therein. To the extent such assignment of rights and ownership is invalid or any of the foregoing rights, including so-called “moral rights” or rights of “droit moral,” may be inalienable, Supplier agrees to waive and agrees not to exercise such rights, and if such waiver and agreement are deemed invalid, to grant to Buyer and its designees the exclusive, transferable, perpetual, irrevocable, worldwide and royalty free right to make, use, market, modify, distribute, transmit, copy, sell, practice, and offer for sale and import the Buyer Materials and any process, technology, software, article, equipment, system, unit, product or component part covered by the Deliverable Concepts or a claim of any patent in any part of the Deliverable Concepts. At Buyer’s request, Supplier will execute any instrument, or obtain the execution of any instrument, including from any employee or contractor, that may be appropriate to assign the rights to Buyer in accordance with this section or perfect such rights in Buyer’s name. If Supplier fails to execute any assignment in accordance with this section within fifteen calendar days after a request by Buyer, Supplier hereby appoints Buyer as Supplier’s attorney in fact for the sole purpose of executing any such assignment on behalf of Supplier to Buyer and Supplier agrees to be bound thereby.
(4) Supplier shall include on the face of all copyrightable material prepared for Buyer a copyright notice identifying Buyer and the year of publication in legible form. Supplier shall provide Buyer with all relevant or necessary design drawings, source code and other documents detailing the Intellectual Property Rights with respect to the Buyer Materials. Except in connection with the PO to provide the goods or services to Buyer, Supplier shall not use any Intellectual Property Rights with respect to the Buyer Materials in any manner or for any reason. Without limiting the foregoing, Supplier agrees that neither Supplier nor any of its affiliates shall sell or distribute, or authorize the sale or distribution by any third party of, any goods or services using the Intellectual Property Rights with respect to the Buyer Materials to any party other than Buyer.
(1) Neither Buyer nor Supplier shall engage in any conduct that would violate Japanese laws and other anti-corruption policies, and shall not make any payments or provide any benefits (or offer to make any payments or provide any benefits) to government officials or employees, political party officials or candidates for public office, or any other third parties involved in the transaction, in a manner that would violate such anti-corruption policies.
(2) Any provisions, representations or agreements required by any law or regulation to be included in the contract resulting from acceptance of the PO are hereby incorporated by reference into these Terms and Conditions, including, but not limited to, those prohibiting discrimination against any employee or applicant for employment because of race, color, religion, sex or national origin, or physical or mental handicap and those providing for the employment of disabled veterans and veterans of the Vietnam era.
(3) If (i) any goods shipped pursuant to the PO is produced using any human blood, blood component, tissue from a living or cadaveric donor, or from material derived therefrom (collectively, “Tissue”); or (ii) any goods contain Tissue; or (iii) delivery of any deliverables that pursuant to the PO include results generated using Tissue, Supplier warrants and agrees that any such Tissue was collected or will be collected pursuant to a legally effective informed consent under the common rule and patient authorization under regulations implementing the Health Insurance Portability and Accountability Act in effect at the time of collection and subject to approval by an institutional review board, and Buyer or its affiliate(s) may review the consent form used in collection of any such Tissue, as well as any subsequent revisions thereof, but Supplier is solely responsible for obtaining the appropriate patient consent and authorization.
(4) Supplier shall not subcontract any of its obligations under the PO without the prior written consent of Buyer. If Supplier undertakes subcontracting, it shall make the subcontractor assume obligations equivalent to those Supplier owes to Buyer based on the terms and conditions of this PO and these Terms and Conditions, and shall be liable to Buyer for the acts of the subcontractor.
(5) (a) While on the premises of Buyer or any of its affiliates (the “Premises”), Supplier shall comply with all rules and regulations while on and applicable to the Premises. Supplier shall be responsible for its personnel and agents while they are on the Premises whether or not any of their actions fall outside the scope and course of employment or engagement by Supplier. Supplier shall ensure that its personnel and agents proceed directly to the site where Services are to be provided and do not enter any other part of the Premises, except as directed by Buyer. (b) Supplier agrees that Buyer or its affiliate, as the case may be, may search Supplier’s personnel and agents, their vehicles and packages while they are on, leaving or entering the Premises.
(1) Governing Law. The laws of Japan, without regard to principles of conflict of laws or Buyer’s place of residence, will govern these Terms and Conditions and the PO.
(2) Jurisdiction. The parties agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any disputes between the parties arising out of or in connection with this PO and herein.
(1) The relationship of Buyer and Supplier is that of independent contractors, and nothing contained herein shall be construed to (i) give either party any right or authority to create or assume any obligation of any kind on behalf of the other or (ii) constitute the parties as partners, joint ventures, co-owners or otherwise as participants in a joint or common undertaking.
(2) Buyer shall not be liable for any of its affiliates under any circumstances.
(3) The relationship between Buyer and Supplier in the PO and herein is not one of exclusivity.
(1) Supplier shall strictly manage the personal information of Buyer's employees or customers, etc. (hereinafter referred to as ‘Personal Information’) that it has obtained in relation to this PO in accordance with the Act on the Protection of Personal Information and other related laws and regulations, and shall not disclose such Personal Information to any third party without justifiable grounds or the prior written consent of Buyer.
(2) In order to fulfil the obligations set forth in the preceding Paragraph, Supplier shall appoint a personal responsible for the safe management of Personal Information within its own organisation and shall take sufficient safety management measures.
(3) Buyer may at any time request Supplier to report on the safety management measures and the status of personal information management set out in the preceding Paragraph.
(4) Supplier shall take the necessary measures to ensure that all of its employees involved in transactions with Buyer comply with the content of the safety management measures under this Article during their employment and thereafter.
(5) Supplier will return or destroy any Personal Information that is no longer required, in accordance with Buyer's instructions. The obligations under this Article will remain in force for the duration that Supplier holds the Personal Information.
(1) Definitions
(a) “Anonymized Data” means information that does not relate to an identified or identifiable individual or Personal Information (as defined below) rendered anonymous in such a manner that the individual is not or is no longer identifiable.
(b) “Personal Information” (or “Personal Data”) means data that identifies, can be used to identify, relates to, or is capable of being associated with, or could reasonably be linked, directly or indirectly, with an individual or household, as defined by applicable law.
(c) “Privacy Breach” means any unauthorized access, acquisition, use, alteration, disclosure, loss or destruction of, or damage to, Buyer’s Personal Information, or any breach of applicable privacy or data protection laws, or of the requirements of the PO with respect to the Processing of Buyer’s Personal Information by or on behalf of Supplier.
(d) “Process,” “Processed,” and “Processing” means any operation or set of operations performed on Personal Information, whether or not by automatic means, including the collection, creation, possession, use, disclosure, transfer, storage, deletion, combination, access or other use of Personal Information as contemplated by applicable privacy and data protection laws.
(e) “Pseudonymized Data” means Personal Information that can no longer be attributed to a specific individual without the use of additional information, provided that such additional information is kept separately and is subject to technical and organizational measures to ensure the Personal Information is not attributed to an identified or identifiable individual.
(f) Sensitive Personal Information” (or “Sensitive Personal Data”) means Personal Information about an individual’s racial or ethnic origin, religious or philosophical beliefs, trade union membership, political opinions, sexual life, physical or mental health or medical conditions, criminal record or history, or social insurance number or social security number or as otherwise defined by applicable law
(2) Personal Information Privacy & Data Protection
(a) Processing. Supplier shall Process Personal Information only to perform its obligations under the PO, or as otherwise instructed by Buyer in writing from time to time. Supplier’s Processing of Personal Information shall be governed by the terms of the PO,these Terms and Conditions and Applicable Agreements, which set out the subject matter, duration, nature, and purpose of the Processing, types of Personal Information, categories of data subjects, and obligations and rights of the Buyer. Supplier is prohibited from using, disclosing, sharing or otherwise selling Personal Information, except as expressly permitted in the PO and this Article. Supplier shall Process Personal Information in accordance with all applicable data privacy and data protection laws, and applicable policies and standards, including, to the extent required as part of Supplier's obligations under the PO, with Buyer’s Cookie Policy.
(b) Sensitive Personal Information. To the extent Supplier stores or transmits Sensitive Personal Information in accordance with the provision of the Services, it shall implement appropriate technical safeguards, including but not limited to data encryption, consistent with the sensitivity of the data and Buyer’s data safeguards requirements. Supplier shall limit the Processing of Sensitive Personal Information only that which is strictly necessary to provide desired Services to the Buyer, as determined by the Buyer.
(3) Supplier-Provided Data. To the extent Suppler provides information or data to Buyer in accordance with the Services:
(a) Pseudonymized Data. If Supplier provides Pseudonymized Data to Buyer, the following will apply:
(i) Supplier represents and warrants that when Pseudonymized Data is provided to Buyer, Supplier will not provide Buyer with any key or code that enables such Pseudonymized Data to be re-identified.
(ii) Supplier will notify Buyer immediately (and in any event within 24 hours) if Supplier discovers that any non-pseudonymized Personal Information has been provided to Buyer. Supplier will cooperate with Buyer’s requests to mitigate any harm resulting from any such disclosure of Personal Information and shall promptly deliver corrected Pseudonymous Data to Buyer at no cost to Buyer.
(b) Anonymized Data. If Supplier will provide Anonymized Data to Buyer, the following will apply:
(i) Supplier represents and warrants that any Anonymized Data supplied to Buyer has been anonymized to remove direct identifiers, such that when used in conjunction with other data held by or disclosed to Buyer, cannot be reasonably linked to or used to identify an individual.
(ii) Where Anonymize Data includes health-related data or information, the following provisions shall apply: For patients in Japan, all Personal Information shall be anonymized by Supplier in accordance with the Act on the Protection of Personal Information of Japan (Act No. 57 of 2003), as amended, and any other applicable rules and regulations including but not limited to relevant guidelines issued by the Personal Information Protection Commission.
(c) Supplier shall notify Buyer immediately (and in any event within 24 hours) if Supplier discovers that any Anonymized Data provided to Buyer does not satisfy the requirements set forth herein. Supplier shall cooperate with Buyer’s requests to mitigate any harm resulting from any such disclosure of Anonymous Data that do not comply with Section 1.1. Supplier will promptly deliver corrected Anonymized Data to Buyer at no cost to Buyer. Buyer shall not be considered a Data Controller under applicable data protection regulations with respect to the Processing of the Personal Information used as a source for such Anonymized Data.
(4) Third-Parties. Supplier shall ensure that Personal Information is not disclosed to, transferred to, or allowed to be accessed by any third party (including Supplier’s subcontractors and affiliates) without the prior written consent of Buyer, except as specifically set forth in the PO. to the extent Buyer consents to Supplier disclosing, transferring, and/or allowing access to Personal Information to a third party, Supplier shall ensure in advance that such third party is bound in writing to terms at least as restrictive as this Article with respect to Processing of Personal Information, provide such writing to Buyer promptly upon Buyer’s request, and fulfill all applicable legal requirements, such as execution of data transfer agreements between the Supplier and the third party. Supplier shall remain responsible at all times for all actions by such third parties with respect to such Personal Information.
(5) Data Accuracy. Supplier shall, to the extent required as part of Supplier's obligations under the PO, ensure that all Personal Information provided by or on behalf of Buyer and Processed by Supplier is accurate and, where required, kept up-to-date, and ensure that any Personal Information that Supplier is notified, or otherwise has knowledge, is inaccurate or incomplete, is securely erased or rectified in accordance with Buyer’s instructions, the PO, or applicable law.
(6) Data Subject Inquiries. Supplier shall, unless specifically prohibited by applicable law (i) promptly (and in any event within 3 calendar days of receipt) notify Buyer in writing if Supplier receives any requests, complaints, or inquiries from an individual with respect to Personal Information Processed by Supplier, including opt-out requests, requests for access, correction, deletion or portability, or to stop the disclosure, sharing or sale of Personal Information, where allowed by law, or allegations that the Processing infringes an individual’s rights under applicable law; and (ii) not respond to any such requests, complaints or inquiries unless expressly authorized to do so by Buyer.
(7) Privacy Breach. Supplier shall notify Buyer in writing immediately (and in any event within 24 hours) whenever Supplier reasonably believes that there has been a Privacy Breach. Such notice will provide detailed information regarding the Privacy Breach, including its nature and scope; actual or potential cause; any reports to law enforcement; and, measures being taken to investigate, correct, mitigate, and prevent future Privacy Breaches. Supplier will provide, at Supplier’s sole cost, reasonable assistance and cooperation requested by Buyer to investigate and notify affected individuals, regulatory bodies, or credit reporting agencies with respect to any such Privacy Breach. Supplier will mitigate the effects of the Privacy Breach as Buyer deems appropriate, including the provision of any credit reporting or other remedial service as required by applicable law or otherwise agreed to by the parties. Supplier shall not notify any individual or any third party of any Privacy Breach without Buyer's prior consent except to the extent required by law and, in such case, Supplier shall notify Buyer within 48 hours of notice of any such legal requirement. In addition, within 10 days of identifying or being informed of a Privacy Breach, Supplier shall develop and execute a plan that reduces the likelihood of a recurrence of such Privacy Breach, following submission of such plan to Buyer for review and feedback. Without limiting any other rights of Buyer under the PO, Buyer may at its discretion immediately terminate the PO as a result of a Privacy Breach without Buyer having any financial or other liability of any nature whatsoever to Supplier resulting from such termination.
(8) Return or Destruction of Data. Supplier shall cease Processing and promptly return, archive, or securely destroy any Personal Information in its possession provided by or on behalf of Buyer, in accordance with Buyer’s instructions, when no longer necessary to provide the Services to Buyer, upon termination or expiration of the PO, or for any reason immediately upon Buyer’s request. When disposing of any paper, electronic or other record containing Personal Information (including Personal Information retained by Supplier for disaster recovery and data back-up), Supplier shall do so by taking all reasonable steps to destroy the information such as by: (i) shredding; (ii) permanently erasing and deleting; (iii) degaussing; or, (iv) otherwise modifying the Personal Information in such records to make it unreadable, unreconstructable and indecipherable. Upon request, Supplier shall provide written certification confirming the return or destruction of such Personal Information.
(9) Legal Process. If Supplier is required by law or receives any order, demand, warrant or any other document from a court of competent jurisdiction or other governing body requesting or purporting to compel the production of Personal Information, Supplier shall, except to the extent prohibited by law, immediately notify Buyer and shall not produce the Personal Information for at least 48 hours following such notice to Buyer so that Buyer may, at its own expense, exercise such rights as it may have under law to prevent or limit such disclosure. In addition to the foregoing, Supplier shall exercise commercially reasonable efforts to prevent and limit any such disclosure, to otherwise preserve the confidentiality of the Personal Information and shall cooperate with Buyer with respect to any action taken with respect to such legal process, including to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded to the Personal Information.
(10) Review of Policies and Procedures. At any time during the term of the PO, upon request and in a reasonable time and manner and subject to Buyer’s confidentiality obligations set forth in the PO, Supplier shall make its policies, procedures, practices, and books and records relating to the privacy and security of Personal Information and the Processing of Personal Information available to Buyer and/or its affiliates or their authorized representatives for review.
(11) Site Audits. Supplier shall provide Buyer and its affiliates and their authorized representatives upon reasonable request with: (i) access to Supplier’s premises and records; (ii) assistance and cooperation of Supplier’s relevant staff; and (iii) facilities at Supplier’s premises for the purpose of auditing Supplier’s compliance with its obligations in this Article. When responding to a Buyer-mandated audit or request for information, Supplier shall inform Buyer if Supplier believes that any of Buyer’s instructions regarding the Personal Information violate applicable law. Supplier shall also assist and support Buyer in the event of an investigation by any regulatory authority, including a data protection regulator, if and to the extent that such investigation relates to Personal Information Processed by Supplier for Buyer. Such assistance shall be at Buyer’s expense, except where such investigation was required due to Supplier’s acts or omissions, in which case such assistance shall be at Supplier’s expense.
(12) Cross-Border Transfers. Pursuant to applicable requirements under the Act on the Protection of Personal Information of Japan (Act No. 57 of 2003), as amended, and relevant rules and regulations including guidelines issued by the Personal Information Protection Commission (hereinafter collectively abbreviated as “APPI"), Supplier shall take any appropriate cross-border data transfer mechanisms as needed for Buyer to satisfy cross-border transfer obligations relating to Personal Information to allow Personal Information to be transferred to Supplier and any subcontractor of Supplier by Buyer . If Supplier is authorized by Buyer to subcontract any of its obligations under the PO, Supplier will downstream these obligations by entering into an appropriate subcontracting agreement with any such subcontractor and/or taking any other appropriate mechanisms required under the APPI for such subcontracting.
(13) Supplier Compliance Cooperation. Supplier shall take steps reasonably requested by Buyer to assist Buyer with respect to: (a) complying or demonstrating Buyer’s compliance with any notification, registration or other obligations applicable to Buyer or its affiliates under laws relating to Processing Personal Information under the PO; (b) carrying out privacy and data protectionrelated consultations by government authorities; (c) demonstrating regulatory accountability; or (d) ensuring the security of Personal Information. In the event the PO, or any actions to be taken or contemplated to be taken in performance of the PO, do not or would not satisfy either party’s obligations under such laws, the parties shall cooperate with each other to execute an appropriate amendment to the PO.
(14) Security Controls. Supplier shall (a) implement appropriate technical, physical, and organizational measures to ensure a level of security appropriate to the risk to Personal Information as required by all applicable laws, including measures in compliance with Buyer’s data safeguard requirements; and (b) impose a duty of strict confidentiality on any party’s authorized to access or Process Personal Information by or on behalf of Buyer.
(15) Indemnification. Supplier agrees to indemnify, defend and hold harmless Buyer and its affiliates and their directors, employees, and agents from and against any and all claims and resulting damages, liabilities, expenses, fines and losses of any type, to the extent arising out of, or relating to the following: (a) Supplier’s failure (or the failure of any personnel, contractor, or agent of Supplier) to comply with the obligations under this Article; (b) any Privacy Breach; and (c) any negligence or willful misconduct by Supplier, its personnel, contractor or agents or any third party to whom Supplier provides access to Personal Information Processed under the PO.
(16) Specific Jurisdictional Requirements. The following provisions will apply to Personal Information in the specific countries set forth below:
(E) Japan:
The following provisions apply to Personal Information (a) Supplier receives or accesses from a Data Controller located in Japan; or (b) Buyer notifies Supplier is subject to these requirements.
E.1. Supplier may disclose or transfer such Personal Information to, or allow access to such Personal Information by (each, a “Disclosure”), a data processor that is not a party to the PO only if the following conditions are met: (1) Supplier has entered into a written agreement with the data processor that requires the data processor to undertake obligations at least as restrictive as the obligations undertaken by Supplier under the PO, including this Section E; and (2) Supplier reasonably supervises the Data Processor’s overall compliance with the requirements in the written agreement executed under this Section E.1. A copy of the written agreement will be provided to Buyer promptly upon request. Supplier will remain liable to Buyer under the PO for all actions by the entity that receives information as a result of a Disclosure.
E.2. Supplier will be responsible for supervising all employees, contractors, subcontractors or agents that Supplier authorizes to Process such Personal Information with respect to their compliance with the PO.
E.3. Supplier will hold Personal Information in strict confidence and impose confidentiality obligations on personnel who will be provided access to or will otherwise Process Personal Information, including to protect all Personal Information consistent with the requirements of the PO (including during the term of their employment or engagement and thereafter).
E.4. Supplier will promptly notify Buyer, unless specifically prohibited by laws applicable to Supplier, if Supplier receives: (i) any requests from an Individual with respect to Personal Information Processed, including but not limited to opt-out requests, requests for access and/or rectification, erasure, restriction, and all similar requests; or (ii) any complaint relating to Personal Information Processing, including allegations that the Processing infringes on an Individual’s rights. Supplier will not respond to any such request or complaint unless expressly authorized to do so by Buyer, will cooperate with Buyer with respect to any action taken relating to such request or complaint and will seek to implement appropriate processes (including technical and organizational measures) to assist Buyer in responding to requests or complaints from Individuals.
E.5. Supplier will take any other steps reasonably requested by Buyer, in particular in order to assist Buyer in meeting its obligations under Japanese Personal Information Protection Law regarding (i) the notification and accountability to an Individual, and (ii) maintaining the security of the Personal Information.
(1) Buyer’s Records and Information. All records and information, in any format, that Supplier creates, edits or receives on behalf of Buyer or Buyer’s affiliates will be referred to herein as “Buyer’s Records and Information.” For avoidance of doubt, “Buyer’s Records and Information” does not include records and information created by Supplier as part of Supplier’s business processes (e.g., invoices, internal reports, etc.).
(a) Supplier shall maintain, manage and protect Buyer’s Records and Information pursuant to the PO, these Terms and Conditions and any Applicable Agreements (i) in accordance with Buyer's records retention requirements; and (ii) in accordance with all applicable statutes and regulations.
(b) Supplier shall not transfer Buyer’s Records and Information to any other entity unless directed by Buyer.
(c) Supplier shall manage Buyer’s Records and Information such that Buyer’s Records and Information is not intermingled with records and information managed by Supplier for other customers.
(d) Supplier may retain electronic data backups of Buyer’s Records and Information only as long as required for disaster recovery, record retention requirements, or delivery of services.
(2) Preservation and Production. Supplier shall comply with any request from Buyer to preserve Buyer’s Records and Information (or parts thereof). Supplier shall deliver promptly Buyer’s Records and Information requested to be searched, retrieved, and produced, all as part of the services Supplier provides under the PO in accordance with Section (h) (Format of Buyer’s Records and Information).
(3) Third Party Requests. Within three business days of Supplier receiving from anyone other than Buyer a request, demand, notice, subpoena, order, or other legal request (“Third-Party Request”) for Buyer’s Records and Information, Supplier shall notify Buyer and provide Buyer with a copy of the Third-Party Request (unless legally prohibited). Supplier shall confer with Buyer to identify, document, and implement procedures to comply with the request. Supplier shall take all reasonable steps to protect Buyer’s legal rights when responding to a Third-Party Request.
(4) Training. All employees and contractors of Supplier with access to the Johnson & Johnson Enterprise Network (JJNET) shall annually complete Records and Information Management training as specified by Buyer.
(5) Destruction. Supplier shall not destroy or permanently delete Buyer’s Records and Information without Buyer’s written approval. Buyer shall confirm Records and Information are not subject to any pending preservation obligation or retention requirement. Supplier shall certify in writing that Buyer’s Records and Information has been destroyed or permanently deleted as specified by the Buyer.
(6) Transfer. When a transfer of Buyer’s Records and Information from Supplier is required, Supplier shall (a) transfer Buyer’s Records and Information to Buyer or an entity specified by Buyer in accordance with Section (8) (Format of Buyer’s Records and Information), (b) take no action on Buyer’s Records and Information until written notification from Buyer confirming accurate and complete transfer is received, and (c) obtain Buyer’s written approval to destroy or permanently delete Buyer’s Records and Information in accordance with Section (5)(Destruction).
(7) Termination. Upon termination of the PO and at Buyer’s direction, Supplier shall (a) transfer Buyer’s Records and Information to Buyer or an entity specified by Buyer in accordance with Section (6) (Transfer), or (b) obtain Buyer’s written approval to destroy or permanently delete Buyer’s Records and Information in accordance with Section (5)(Destruction).
(8) Format of Buyer’s Records and Information. In consultation with Buyer, Supplier shall identify Buyer’s Records and Information and implement documented procedures to deliver to Buyer or an entity specified by Buyer, Buyer’s Records and Information and supporting documentation in the format directed by Buyer. To meet Buyer’s records retention and other legal preservation obligations, Buyer may require Supplier to provide Buyer’s Records and Information in a structured format maintaining the relationships that exist in the database underlying Supplier’s application.
(1)Supplier represents and warrants that it, its directors or employees, or its agents (in the case of Supplier, including any subcontractors used under this Agreement) are not antisocial forces, that no antisocial forces are substantially involved in the management of Supplier, that Supplier does not use antisocial forces, and that Supplier does not provide funds or other benefits to antisocial forces, and that all of the foregoing will continue on into the future.
(2)Supplier shall not, either by itself or through a third party, make any violent or unjustifiable demands that exceed its legal responsibilities, or engage in any acts that damage Buyer's reputation or interfere with its business, such as spreading rumors, using fraudulent means or force.
